These Terms & Conditions govern the provision of services by Broadway SecureTech (“we”, “us”, “our”) to the customer (“you”, “your”).
By using our website, requesting a quotation, or engaging our services, you agree to these Terms & Conditions.
1. Services
We provide IT support, managed services, cybersecurity, consultancy, installation, and related technology services as agreed in writing (including quotations, emails, or service agreements).
We will use reasonable care and skill in delivering all services, in accordance with accepted UK industry standards.
While we take reasonable steps to protect systems and data, no technology or security solution can guarantee complete protection against all risks.
2. Quotations & Acceptance
- All quotations are valid for 30 days unless stated otherwise
- A contract is formed once you accept a quotation or instruct us to proceed
- These Terms & Conditions apply to all services unless otherwise agreed in writing
3. Customer Responsibilities
You agree to:
- Provide accurate and complete information
- Grant reasonable access to systems, premises, and data
- Ensure you have authority to allow us to work on the systems involved
We are not responsible for delays or service limitations caused by missing, incorrect, or withheld information.
4. Fees & Payment
- Fees are as stated in the agreed quotation or agreement
- Invoices must be paid within 7 days unless otherwise agreed
- Late payments may result in suspension of services
All prices exclude VAT unless stated otherwise.
5. Additional Work
Any work requested outside the agreed scope may be charged separately at our current rates. We will notify you before carrying out additional chargeable work.
6. Cancellations & Termination
Either party may terminate services by giving reasonable written notice, subject to any minimum term agreed.
We may suspend or terminate services immediately if:
- Invoices remain unpaid
- There is misuse of services
- There is a serious breach of these Terms
7. Data Protection
We process personal data in accordance with UK GDPR and our Privacy Policy.
Where we process personal data on your behalf, you remain the Data Controller, and we act as a Data Processor, unless agreed otherwise in writing.
8. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information obtained during the provision of services, unless disclosure is required by law.
9. Limitation of Liability
- We are not liable for indirect or consequential losses
- Our total liability shall not exceed the total fees paid for the specific services giving rise to the claim
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
10. Force Majeure
We are not liable for delays or failure to perform services due to events beyond our reasonable control, including power failures, internet outages, supplier failures, or acts of government.
11. Intellectual Property
All intellectual property created by us during the provision of services remains our property unless otherwise agreed in writing.
12. Governing Law
These Terms & Conditions are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
13. Changes to These Terms
We may update these Terms & Conditions from time to time. The latest version will always be published on our website.
